2.3 Prohibited Activities: Client agrees not to post/upload any content that is illegal, offensive, infringing, or harmful in nature. Service Provider reserves the right to remove any such content at its sole discretion without notice.
3. INTELLECTUAL PROPERTY

Client is granted a limited, non-exclusive license to use such materials for the purpose of receiving the Services.
4. PAYMENT TERMS
4.1 Fees: Client agrees to pay Service Provider the fees specified in this Agreement or as otherwise agreed in writing. If no specific fee is mentioned, the Services are provided free of charge unless otherwise stated on our Website.

5. TERMINATION
5.1 Termination by Service Provider: Service Provider reserves the right to terminate or suspend Client’s access to the Services at any time, with or without cause, and with or without notice. Upon termination, Client agrees to cease using the Services immediately.
5.2 Effect of Termination: Any termination of this Agreement does not relieve Client of its obligation to pay any fees accrued prior to termination.

6.1 Confidential Information: For the purposes of this Agreement, "Confidential Information" means any non-public information disclosed by one Party to the other, whether orally, visually, or in writing, that is marked or identified as confidential at the time of disclosure.
6.2 Obligations: Each Party agrees to maintain the confidentiality of the other’s Confidential Information and not disclose it to any third party without prior written consent. This obligation does not apply to information that becomes publicly available through no fault of the receiving Party, is rightfully received from a third party without breach of any obligation of confidentiality, or is independently developed by the receiving Party.
7. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, Service Provider disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. LIMITATION OF LIABILITY

9. INDEMNIFICATION
Client agrees to indemnify and hold harmless Service Provider, its officers, directors, employees, agents, affiliates, and subsidiaries from any and all claims, demands, losses, causes of action, damage, lawsuits, attorneys' fees, costs, and expenses arising out of or related to (i) Client’s breach of this Agreement; (ii) any content posted/uploaded by Client on our Website; or (iii) Client’s use of the Services.
10. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of USA. Any legal action arising out of this Agreement must be brought exclusively in the courts located in USA.
11. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Parties regarding the subject matter hereof and supersedes all prior agreements, representations, or understandings, whether written or oral.
12. AMENDMENTS
Service Provider reserves the right to modify this Agreement at any time by posting an updated version on our Website. Continued use of the Services after such changes constitutes acceptance of the revised terms.
13. SEVERABILITY
If any provision of this Agreement is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect as if the invalid, illegal, or unenforceable provision had never been included.
